Trade Terms & Conditions

These Trade Terms & Conditions (“Trade Terms”) apply to all applications for, access to, and purchases made via trade.thefauxflowercompany.com (the “Trade Website”). By applying for a trade account, accessing the Trade Website, using any trade pricing/discount, or placing an order, you agree to these Trade Terms at all times.

“We”, “us” and “our” mean Amaranthine Home Ltd trading as The Faux Flower Company. “You” and “your” means the business applying for or using a trade account.

1) Trade eligibility, approval and ongoing access

Trade accounts (including access to trade pricing, trade-only products, trade content, and any discount codes) are available by application and approval only. Approval is granted at our discretion. Trade access and pricing are a privilege, not an entitlement, and are not transferable.

We may approve, refuse, suspend, or withdraw any trade account (and/or any trade discount code) at any time, with or without notice, in our sole discretion. This includes (without limitation) where we reasonably believe that:

  • you have breached these Trade Terms or any other policy we notify to you;
  • your activities may harm our brand, reputation, customer experience, or distribution strategy;
  • there is suspected misuse of trade pricing, trade-only products, or our intellectual property;
  • there is fraud, non-payment or chargeback risk; or
  • your business model, sales channels, or marketing creates a direct conflict with our retail business or authorised network.

Where access is suspended or withdrawn, you must immediately stop using the Trade Website and any trade-only materials, and you must comply with the “Branding, names, images, content and IP” section below (including removal obligations).

2) Minimum order value and ongoing spend requirement

Minimum order value is £175 (excluding delivery charges and any applicable taxes). Orders below this value may be refused or cancelled at our discretion.

To remain eligible for an active trade account, you must place cumulative orders totalling at least £2,500 (excluding delivery charges and any applicable taxes) in any rolling 12-month period.

If you do not meet this ongoing spend requirement, we may (at our discretion) suspend or withdraw your trade access and/or trade pricing. We may reinstate trade access at our discretion following re-application or following a new qualifying order.

3) Account security and accuracy of information

You confirm that all information provided as part of your application, account creation and ordering is true, complete and accurate, and you will notify us promptly of any changes. You are responsible for maintaining the confidentiality of your login details and for all activity on your trade account.

We may request reasonable evidence of your business status or sales channels at any time (for example, company details, trading address, website/social links). Failure to provide requested information may result in suspension or withdrawal of access.

4) Confidentiality of trade pricing, codes and trade-only information

Trade pricing, trade-only product ranges, discount codes, and any trade materials we provide (including pack shots and product information sent directly to you) are confidential. You must not share, publish, distribute, or disclose them to any third party, nor use them in a way that undermines our retail pricing or customer experience.

5) Branding, names, images, content and intellectual property

You must not use our brand name, trademarks, logos, social handles, domain names, product titles, collection names, or any confusingly similar wording in any context connected to resale of our products. This includes (without limitation) use in product listings, page titles, meta titles/descriptions, URLs, image alt text, keyword tags, hashtags, ads, press, marketing materials, and any search optimisation fields.

You must not describe products as “The Faux Flower Company”, “by The Faux Flower Company”, “from The Faux Flower Company”, “official”, “authorised”, “stockist”, “approved”, or anything that implies an affiliation with, endorsement by, or relationship to us. You must not state or imply that you are an authorised retailer, distributor, stockist, partner, or reseller of The Faux Flower Company. All products must be sold as your own brand.

You must not display or reference our name or branding anywhere on product packaging, labels, inserts, product listings, receipts, marketing materials, or customer communications.

All images, videos, bouquet and arrangement designs, product titles, keyword descriptions and product descriptions, and all other content on the Trade Website and our social media accounts (together, “Digital Assets”) are owned by us and remain our intellectual property at all times.

You must not copy, reproduce, adapt, edit, distribute, publish, or use any Digital Asset (in whole or in part) without our express written consent.

Pack shots: we may, at our discretion, provide simple white background pack-shot images for products you have purchased. Any pack shots provided are licensed to you solely to market those purchased products under your own brand and must not include our branding or name. We may withdraw permission at any time. If your trade access is suspended or withdrawn, or if we request it, you must remove all pack shots and any other content we have provided from your website, social media, ads and any other channels within 48 hours.

If we discover unauthorised use of our Digital Assets or branding, we may issue a removal request. Failure to comply within 24 hours may result in immediate account cancellation and potential legal action. You agree to reimburse us for any reasonable costs we incur in enforcing this section (including reasonable legal fees) and for any losses resulting from your breach.

6) Marketplace prohibition and sales channels

You must not list or sell our products on third-party marketplaces or similar platforms. This includes (without limitation) Amazon, eBay, Etsy, OnBuy, Wayfair, Not On The High Street, Fruugo, TikTok Shop, Facebook Marketplace, and any comparable platform.

You must not sell to unauthorised resellers or wholesalers. You must take reasonable steps to ensure your customers do not represent themselves as authorised stockists of The Faux Flower Company.

We may request evidence of compliance with this section (for example, links to listings, stores, ads, or channel disclosures).

7) Brand bidding and paid search restrictions

You must not bid on, purchase, or target any of our brand terms (or confusingly similar variations) in any paid advertising, including search engine advertising and shopping ads. This includes (without limitation) “The Faux Flower Company”, “Faux Flower Company”, “Amaranthine Home”, and any misspellings, abbreviations, or close variations.

You must not use our brand terms (or confusingly similar variations) in ad copy, creative, ad text, keywords, negative keyword lists, audience targeting fields, or tracking URLs. You must also ensure your agencies and service providers comply with this requirement.

8) Orders, acceptance and pricing

By placing an order, you are making an offer to purchase the goods in that order. We will email confirmation that your order has been received, but this is not acceptance. A contract for sale is formed only when we accept, process and dispatch your order.

Prices and availability are subject to change without notice. Unless stated otherwise, prices are in GBP and exclude VAT (where applicable). If a pricing or product description error occurs, we may cancel the order and issue a refund.

We reserve the right to impose order limits, restrict access to certain products, or decline orders at our discretion.

9) Payment

Payment is taken at checkout unless we agree on alternative terms in writing. You must ensure you have permission to use any payment method you provide. If payment is reversed or charged back, you remain liable for all amounts due, including any reasonable costs we incur in recovering the debt.

10) Delivery and risk

Delivery charges may apply and will be shown at checkout. Delivery dates are estimates only and are not guaranteed. We are not liable for delays outside our reasonable control.

Risk in the goods passes to you on delivery. You are responsible for providing a complete and accurate delivery address. We are not liable for failed deliveries due to incorrect or incomplete details.

11) Inspection, faults, conformity and non-conforming goods

You must inspect all goods promptly on delivery. Any faults, shortages, or non-conforming goods must be reported to us in writing within 7 days of receipt, with supporting evidence (photos where relevant). If you fail to notify us within this period, the goods will be treated as accepted.

We take reasonable care to ensure that product descriptions and specifications are correct at the time of publication, however product descriptions and specifications on the Trade Website are provided for general information and are not intended to be binding. Colour and appearance may vary due to screen settings, lighting conditions and the nature of faux floristry, and such variations are not considered a fault or non-conformity.

Where a valid fault is confirmed, we will, at our discretion, repair, replace or refund the affected item(s).

12) Returns (unwanted items)

This Trade Website is for business customers only. The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (and other consumer distance-selling cancellation rights) apply to contracts between a trader and a consumer but not to business-to-business purchases. By ordering from this Trade Website, you confirm you are acting in the course of trade, business, craft or profession.

Therefore, there are no returns for unwanted trade items. This includes change-of-mind returns, over-ordering, or items that do not sell. Faulty items must be reported within 7 days as set out above.

We may refuse, suspend, or cancel any order (and/or withdraw trade access) where we reasonably believe purchases are being made for personal, domestic or consumer use.

13) Your obligations and compliance

You agree to comply with all applicable laws and regulations in connection with your resale of products, including labelling, product safety obligations, and any advertising standards that apply to your channels and territory.

You are responsible for any claims you make to your customers. You must not make claims about our products that are misleading, unsubstantiated, or inconsistent with the information we provide.

14) Limitation of liability

Nothing in these Trade Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any liability that cannot legally be limited.

Subject to the above, we are not liable for any indirect, special or consequential loss or damage, including loss of profit, loss of revenue, loss of goodwill, or loss of opportunity, arising out of or in connection with the Trade Website or supply of products.

Our total liability under or in connection with any contract for products shall not exceed the price paid for the products giving rise to the claim.

15) Indemnity

You agree to indemnify and keep indemnified us against all costs, damages, losses and expenses (including reasonable legal fees) arising from your breach of these Trade Terms, misuse of our intellectual property, your marketing and resale activity, or any claim made by a third party relating to your resale of products or your use of the Trade Website.

16) Force majeure

We are not liable for any delay or failure to perform our obligations where the delay or failure results from events beyond our reasonable control, including (without limitation) acts of God, extreme weather, supplier failures, transport disruption, industrial action, power or internet outages, and government action.

17) Assignment

We may assign, transfer or subcontract any of our rights or obligations under these Trade Terms. You may not assign, transfer or subcontract any of your rights or obligations without our prior written consent.

18) Third-party rights

No person who is not a party to these Trade Terms has any rights to enforce any term under the Contracts (Rights of Third Parties) Act 1999.

19) Changes to these Trade Terms

We may update these Trade Terms from time to time by publishing the updated version on the Trade Website. The version in force at the time you place an order will apply to that order.

20) Governing law and jurisdiction

These Trade Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
